1. About these terms
These Terms of Service govern the provision of web and digital services by InnCode Studio ("we", "us") to clients who reach us through inncode.studio. By submitting the contact form or accepting a quote from us, you agree to these terms.
2. Legal information
InnCode Studio is the trading name of Giovanni, a sole proprietor (freelancer) operating under Italian law. VAT number (P.IVA): 08164840723. Based in Bari, Italy. Everywhere else in these terms, "we"/"us"/"InnCode Studio" refers to this same contracting party.
3. Services
We provide tailored digital services: web development, ecommerce, web application development and social media management, as described on each service page. The exact scope of each project is defined in the quote shared before work begins.
4. Payment
Payment terms (deposit, installments, monthly billing for ongoing services) are agreed in writing in the quote before each project starts. Prices shown on the site are starting prices; the final amount depends on the actual scope of the project.
5. Delivery and delays
Delivery timelines are confirmed in the quote after our first discussion of the project. If we miss a deadline agreed in writing, we discuss a good-faith adjustment with the client.
6. Revisions
Every service includes one round of revisions before final delivery. Additional revisions beyond this round may be quoted separately.
7. Refunds
The final balance is only due upon your approval of the delivered work. Refund terms for any deposit paid are defined case by case in the written quote.
8. Intellectual property
Upon final payment, full ownership of the delivered source code is transferred to you. Third-party assets (fonts, stock images, UI kits) remain subject to their original licenses.
9. Limitation of liability
We are not liable for indirect, incidental or consequential damages arising from the use of the delivered website, including but not limited to loss of revenue or data, except where required by applicable law.
10. Governing law
These terms are governed by Italian law. Any dispute will be subject to the exclusive jurisdiction of the competent court, without prejudice to mandatory consumer protection rules of your country of residence.
